Chat for Impact Terms and Conditions

OVERVIEW OF CHAT FOR IMPACT

The Chat for Impact Program (“the Program” or “Chat for Impact”) was initiated by Turn.io, a Social Impact WhatsApp Business Solution Provider, to support and accelerate the work that social impact organizations are doing to provide vulnerable, disempowered and minority communities with easy and secure access to vital information and support via WhatsApp. The initiative includes events such as bootcamps, an Accelerator Program and a Summit, as well as ongoing engagement activities with the 1000+ Chat for Impact community and the Chat for Impact forum members.

The Chat for Impact Program is designed to provide tools, training and resources to help organizations around the world that are actively driving social progress through the use of WhatsApp’s messaging services to expand their impact and further their goals.

Thank you for participating in the Chat for Impact Program. The Program is managed by Praekelt Foundation NPC (“Praekelt.org”), and offered with the support of WhatsApp LLC, 1 Hacker Way, Menlo Park, California, U.S.A. 94025 (“WhatsApp”) and Praekelt PBC, Benefit Corporation (“Turn.io”) provides the platform for hosting the Chat for Impact Bootcamps as well as access to the subsidized WABA license. Praekelt.org, together with WhatsApp and Turn.io, will hereinafter be known as the Program Entities.  

By agreeing to be considered as a Successful Program Registrant (whether for a Bootcamp or the Accelerator Program), you represent and confirm that:

  1. you are at least eighteen (18) years of age and the age of majority in your jurisdiction of residence;

  1. you have the authority to enter into these Terms and Conditions as the authorized representative of the organization for which you are submitting an application and the authority to enter into any further agreements with the Program Entities to manage Program Participation and receipt of any Program benefits as set out below;

  1. you understand and agree that these Terms and Conditions are binding on you, individually, and on your organization;

  1. you understand that the success of your registration will include a focus on your organization’s proposed use case which means your proposed use case for the WhatsApp Business Solution, and which may include use of chatbots, and integrations with the WhatsApp Business Solution that further your organization’s mission. You confirm that should your organization’s proposed use case be accepted by the Project Entities, you and your organization agree and warrant that this use case will not be changed or amended and that this is a condition of acceptance;

  1. you warrant that your organization has full knowledge of your actions and has consented thereto;

  1. you are not a current government official or a family member of a government official (as defined below);

  1. the organization for which you are submitting an application is not a government entity, government/state-owned/controlled (e.g., executives, boards of directors), a non-profit organization that represents a government, a private service provider to government/s nor is it publicly funded out of state funds; and

  1. You confirm that neither you or anyone you are representing is an employee, officer, member, manager, or representative of WhatsApp LLC, Facebook, Inc. or Praekelt.org or Praekelt PBC, Public Benefit Corporation,nor are the immediate family members and members of the same household (whether or not related) of any such person. You understand that if you are, you are not eligible to participate.

  1. You warrant that your organization is actively driving social progress in the impact areas for which a particular Bootcamp is being run or in the regions where the Bootcamp is being offered and impacts people living in the regions where the Bootcamp is being offered.  Your organization (if based outside the regions where the Bootcamp is being offered) is not located in a country that is subject to comprehensive sanctions nor are you included on any denied party listing published by U.S. or EU governmental authorities. “Government Official” shall refer to any official or employee of any multinational, national, regional, or local government in any country, including any official or employee of any government department, agency, commission, or division; any official or employee of any government-owned or -controlled enterprise; any official or employee of any public educational, scientific, or research institution; any political party or official or employee of a political party; any candidate for public office; any official or employee of a public international organization; and any person acting on behalf of or any relatives, family, or household members of any of those listed above. 

You agree to be bound by the decisions of the Program Entities and any judges, compliance committees, selection committees or other Chat for Impact Program officials appointed by the Program Entities relating to the Program, which are final and binding in all respects. The Program Entities may update these Terms from time to time, and your continued participation in the Chat for Impact Program including the Bootcamp and/or use of or access to the Services constitutes your acceptance of our amended Terms. If you breach any of these Terms, your participation is VOID and you must immediately forfeit any and all benefits, if any have been provided to you.

Organizations domiciled in a jurisdiction where the laws of the United States or local law prohibits participating or receiving benefits in connection with a program such as this one or in which the United States has embargoed goods or services are not eligible to participate (including, without limitation, Crimea, Cuba, Iran, North Korea, Sudan, Syria and any other area or jurisdiction designated by the United States Treasury's Office of Foreign Assets Control). 

Your participation in the Chat for Impact Program is contingent upon your continued position as a representative of the organization on whose behalf you are accepting these Terms; should you no longer hold that position you are required to immediately give notice of this to the Program Entities at the following email: impact@turn.io, your continued participation in the Chat for Impact Program is at the Program Entities’ sole discretion and may be subject to termination. 

Your organization’s participation in the Chat for Impact Program, attempted or actual use of or access to related benefits, and use of other WhatsApp products and services are all governed by the WhatsApp Business Terms of Service, including all terms, conditions, and policies incorporated in them (collectively, the “TOS”), and are deemed part of “Business Services” as defined under the TOS. The TOS is incorporated into these Terms by this reference. These Terms are in addition to (and not in lieu of) the TOS.

You affirm and represent that you comply with and will continue to comply with these Chat for Impact Program Terms and that you have committed no fraud or deception in applying to the Chat for Impact Program. You agree that the Program Entities may disqualify you from the Program if they  have reason to believe, as determined in their sole discretion, or learn of any act, offense, violation, or crime on your part involving moral turpitude, or which may bring a Program Entity into public disrepute, contempt, scandal or ridicule, or which may insult or offend the Program, the community, or any employee, agent, or affiliate of a Programme Entity, or which may injure a Program Entity’s reputation in its sole judgment.

You agree to comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your involvement in the Chat for Impact Program and any content and materials provided therein. 

The Program is void where prohibited by law.

IF YOU DO NOT AGREE TO BE BOUND BY THESE CHAT FOR IMPACT PROGRAM TERMS AND CONDITIONS, YOU MAY NOT PARTICIPATE IN ANY ASPECT OF THE PROGRAM .

  1. CHAT FOR IMPACT BOOTCAMPS

Chat for Impact Bootcamp Overview

The Chat for Impact Bootcamp is one of the Chat for Impact Program training tools designed to to help organizations around the world that are actively driving social progress through the use of WhatsApp’s messaging services to expand their impact and further their goals.  An organization that has successfully registered (“the Successful Bootcamp Registrant/s”)  will be able to participate in one of the monthly virtual Bootcamps. As a Successful Bootcamp Registrant, you will be eligible to register for more than one monthly Bootcamp (subject to availability). All necessary information and the benefits of the Bootcamp are more fully described in the Bootcamp Program website,

Bootcamp Eligibility and Application Evaluation

To be considered as a Successful  Bootcamp Registrant, in addition to the general eligibility requirements listed above, your organization must meet the eligibility requirements as described in the Bootcamp Program website under the FAQs on the Program website. Potentially eligible Bootcamp Registrants will be evaluated by the Program Entities and eligibility and participation decisions will be made at the sole discretion of the Program Entities. By agreeing to be considered as a Successful Program Bootcamp Registrant, you represent and confirm that:

You confirm and understand that in order to be accepted at a Chat for Impact Bootcamp you will be required to: - 

  • Participate in all pre-Bootcamp learning material and additional resources that will cover a range of topics including, but not limited to: 
  • general API requirements; 
  • how to onboard the Turn.io platform; 
  • resources to assist organizations in building their chat service (demo videos, impact case studies, best practices, etc.) and invitations to join the Turn.io Community and Forum.
  • Participate  in either English or Spanish dependent on the Bootcamp for which you register; 

You confirm and agree to: 

  • Attend an online Bootcamp that is 1.5 hours long and consists of intense, hands-on training. 
  • Complete all pre-work assignments. These should take a maximum of 0.5 hours to complete.

You furthermore agree to: 

  • Sign-up for a WhatsApp Business API Account (“WABA”). You will be offered a free three month WABA (sublicensed under Turn.io’’s WhatsApp Business account) that is valued at one thousand five hundred fifty USD ($1,550) and ongoing onboarding support provided you participate in a Bootcamp.
  • Launch your live WhatsApp service within 3 months from the conclusion of the Bootcamp.
  • Please note that you will only be eligible for participation in the Chat for Impact Accelerator Program if you have a live WABA account at the date of selection

Bootcamp Program Benefits and Participation

Benefits: - Provided that you, as a Successful Bootcamp Registrant, onboard and launch a WABA within three (3) months of the Bootcamp you will receive the following benefits (up to a maximum value of $2,500.00):

  1. A WhatsApp Business Solution WABA helpline phone number; and
  2. A three (3) month license to the Turn.io Platform that is integrated with the WhatsApp Business Solution to help manage and automate your WhatsApp service; 

Participation: - Your participation in the Bootcamp Program is at the Program Entities’ sole discretion and without recourse to you and may be subject to termination on notice to you. The Program Entities reserve all their rights in this regard. 

B. ACCELERATOR PROGRAM

Overview

The Accelerator Program is ​​a Chat for Impact subprogram hosted by the Program Entities for a select number of organizations. 20 organizations are invited to participate in the Accelerator Program with the primary goals being: - 

(i) the ability to expedite their growth and impact through the Accelerator Program, which will provide guidance on chatbot performance and access to industry experts and/or mentors; and 

(ii) create unique use cases for the WhatsApp Business solution, as facilitated by the Accelerator Program, which may include use of chatbots, and integrations within the WhatsApp Business Solution that further a participating organization’s mission.

The Accelerator Program consists of 6 weeks intensive mentoring, training and support:-

  • Week 1 - Design & Growth session
  • Week 2 - Impact / Data Insight session
  • Week 3 - Technical sessions
  • Weekly Office hours to support and check in on progress
  • Week 6- Final week of creating a service to showcase on Demo Day at the Summit.
  • Week 8-10 - Case Studies and Mentoring
  • Week 11 - End of year : Follow up meetings and Support

Accelerator Eligibility and Application Evaluation

To be considered as a Successful  Accelerator Participant, in addition to the general eligibility requirements listed above, your organization must meet the eligibility requirements as described in the Accelerator Program website under the FAQs on the Accelerator website. Potentially eligible Bootcamp Registrants will be evaluated by the Program Entities and eligibility and participation decisions will be made at the sole discretion of the Program Entities. 

By agreeing to be considered as a Successful Accelerator Registrant, you represent and confirm that you will by the 20th of September 2022 have: -

  • a live WABA; 
  • sent a minimum of one thousand messages in the first three months after completing onboarding to the WhatsApp Business API; 
  • submitted a proposed use case (“the Proposed Use Case”),
  • attended at least one Chat for Impact Bootcamp session in either the 2021 or 2022 calendar year (if in the 2021 year, the candidate must not have already participated in the Accelerator Program;

Accelerator Program Benefits and Participation

The Program Entities will select 20 successful Applicants as the Accelerator Participants of the Program. They will enter into a Participation and Grant Agreement (“the Agreement”) with the relevant Program entity to  receive grant funding for the purpose of accelerating the Accelerator Participant’s development and launch of the Accelerator Participant’s Proposed Use Case. Each Accelerator Participant will be able to access the following additional Accelerator Program benefits: 

  • Inclusion in the 6 week accelerator program, which will provide dedicated mentorship and support to help build WhatsApp solutions;
  • Up to $25,000 as an incentive benefit to help develop and scale your live WhatsApp service. This incentive benefit must only be used by the Accelerator Participant, within the time period agreed in the Agreement for the following purposes: 
  • to fund any cost of working with a Solution Provider to implement the Use Case, 
  • any programmatic work related to the Use Case, including marketing services, 
  • any ancillary costs related to the implementation of the Use Case
  • The opportunity for mentorship from social innovation experts; and
  • The ability to learn from other organizations in a capstone report session at the end of the accelerator;

Participation: Accelerator Participants are required to participate fully in the 6 week accelerator program, to the satisfaction and determination of the Program Entities in their sole discretion and in accordance with an agreed timetable and schedule for such engagement. Failure to do so will result in the Program Entities determining, in their sole discretion, to terminate the Accelerator Participant’s involvement in the Program and all rights to any benefits without notice and without any liability or obligation to provide you with any substitute benefit or other compensation this includes the right to require you to discontinue using and return any and all benefits immediately, unless it specifies a different timeframe.

All Accelerator Participants will be entitled to utilize the services of any WhatsApp’s authorized Business Solution Providers when utilizing the subsidized WhatsApp line during the Accelerator Program. 

Each Accelerator Participant selected to receive Grant Funding agrees not to use Grant Funding in any way, directly or indirectly, in any way that would violate applicable laws, including, without limitation, in any manner that would constitute bribery, an illegal kickback, an illegal campaign contribution, or any other violation of applicable anti-corruption, political activity, economic sanctions, or other laws. 

The Program Entities may terminate the Program or any of the benefits at any time without notice and without any liability or obligation to provide you with any substitute benefit or other compensation. If your participation in the Chat for Impact Accelerator discontinues for any or no reason, the Program Entities reserve the right to require you to discontinue using and return any and all benefits immediately, unless it specifies a different timeframe.

GENERAL TERMS

The Program Entities may use the information, images, video, copy, data and any other materials (collectively, the “Materials”) you submit in connection with your application for the Chat for Impact Program or with other participation in the Program to evaluate your application, manage your participation in the Program, and as described in the WhatsApp Business Policy. You acknowledge and explicitly consent to the export of the information you submit, including, without limitation, personal information to the United States and its use there for purposes of administering this Program. Information you submit in connection with your application will be stored for as long as necessary for the purposes of administering the Program.  For any and all Materials you provide or post in connection with your application, use of benefits, or any other aspect of participation in the Program, you agree and represent that you have all rights and permissions necessary to provide, share, describe, or reference the Materials, and doing so does not violate any applicable laws, rules, or regulations. You understand and agree that your contact information may be made available within the Program Facebook groups. You understand that Program Entities may request that you sign a separate Marketing Release for the use of your Materials for purposes beyond those set forth in these Terms.

In connection with your participation in the Program, you may acquire information that is confidential or proprietary in nature. You agree to use such confidential information only in connection with your participation in the Program and agree to hold in confidence and to not disclose confidential information to any person or entity without the prior written consent of WhatsApp. You agree to keep confidential and secure any and all log in and other information used to access the Program benefits. You understand and agree that a violation of this confidentiality obligation may result in immediate termination from the Program, among other remedies that may be sought by and available to WhatsApp. All of the foregoing confidentiality obligations apply to and are binding upon all Program participants.

You understand that any waiver of any term of the Program Terms in a particular instance will not be a waiver of such term for the future. You agree that the invalidity or unenforceability of any part of the Program Terms will in no way affect the validity or enforceability of any other part hereof. 

You acknowledge and agree that the Program Entities cannot guarantee that your participation in the Programme will ensure that your organization will be able to successfully expand its impact and further its goals. The Program Entities make no representation in this regard. You and your organization will be solely responsible for making all decisions and taking actions related to your business, including compliance with all applicable laws and regulations, and Participant hereby waives and covenants not to sue the Program Entities or their employees, agents, contractors, or other representatives for any claim related to such matters. 

You and your organization agree to indemnify, defend and hold the Program Entities, our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third party suppliers of information and documents, attorneys, advertisers, product and service providers, and affiliates harmless from any liability, loss, claim and expense, including reasonable attorney's fees, related to your violation of these Terms or your participation in the Program.

In case the instance where you are granted the right to and agree to use the subsidized WhatsApp line, you agree to indemnify and hold Praekelt.org and Turn.io and their subsidiaries, affiliates, directors, officers, agents, or other partners and employees harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of content that you submit, post to or transmit through the WhatsApp line. 

Any award to your organization of the status of Successful Registrant or Participant is not transferable or assignable under the Program.
