CHAT FOR IMPACT TERMS AND CONDITIONS FOR APPLYING:

The Chat for Impact Program (“the Program” or “Chat for Impact”) was initiated by Turn.io PBC (“Turn.io or Turn”), a Social Impact WhatsApp Business Solution Provider, to support and accelerate the work that social impact organizations are doing to provide vulnerable, disempowered and minority communities with easy and secure access to vital information and support via WhatsApp. The Program includes events such as an Accelerator Program and a Chat for Impact Summit and ongoing engagement activities with the 1000+ Chat for Impact community and forum members.

The Chat for Impact Program is designed to provide tools, training and resources to help organizations worldwide actively drive social progress through WhatsApp’s messaging services to expand their impact and further their goals.

Thank you for deciding to participate in the Chat for Impact Program. The Program is managed by Turn.io , who provides the platform for hosting the Chat for GenAI Accelerator 2024 program and access to the subsidized WABA license. The Program is offered with funding from OpenAI.

OpenAI and Turn.io, will starting now, be known as the Program Entities.

‍By agreeing to be considered and hopefully included as a Successful Program Registrant for the GenAI Accelerator Program, you, as the legal entity who is successful, represent and confirm that:

Your representative agreeing to these Ts and Cs is at least eighteen (18) years of age and the age of majority in your jurisdiction of residence;

your representative has the authority to enter into these Terms and Conditions as the authorized representative of your organization with the necessary authority to enter into agreements with the Program Entities to manage participation in the Program activities and to receive any Program benefits as set out below;

you understand and agree that these Terms and Conditions are binding on you and your representative;

‍

you understand that the success of your registration will include a focus on your proposed “use case”. A “use case” means your proposed use for the WhatsApp Business Solution, which may include using chatbots and integrations with the WhatsApp Business Solution to further your organization’s mission. You confirm that should your proposed use case be accepted by the Project Entities, you agree and warrant that this use case will not be changed or amended during the duration of this Program unless otherwise agreed with the Program Entities, and you confirm that this is a condition of acceptance;

you warrant that you have full knowledge of your representative's actions in applying and have consented to that;

you confirm that neither you nor anyone you represent is an employee, officer, member, manager, or representative of Turn.io or OpenAI, nor are any of the immediate family members and/or members of the same household (whether or not related) of any such person. You understand that if you are, you are not eligible to participate;

you warrant that your organization is actively driving social progress in the impact areas for which a GenAI Accelerator is being run;

you confirm that your organization is not located in a country subject to comprehensive sanctions, nor are you included on any denied party listing published by U.S. or EU governmental authorities.

you agree to be bound by the decisions of the Program Entities and any judges, compliance committees, selection committees or other Chat for Impact Program officials appointed by the Program Entities relating to the Program, which are final and binding in all respects.

The Program Entities may update these Terms and Conditions from time to time. Such updates will be available at www.turn.io/, and your continued participation in the Chat for Impact Program constitutes your acceptance of our amended Terms. If you breach any of these Terms, your participation is VOID and you must immediately forfeit all benefits, if any, that have been provided to you.

Your organization’s participation in the Chat for Impact Program attempted or actual use of or access to related benefits, and use of other WhatsApp products and services are all governed by the WhatsApp Business Terms of Service, including all terms, conditions, and policies incorporated in them (collectively, the “TOS”), and are deemed part of “Business Services” as defined under the TOS. The TOS is incorporated into these Terms by this reference. These Terms are in addition to (and not instead of ) the TOS.

‍You affirm and represent that you comply with and will continue to comply with these Chat for Impact Program Terms, that you will sign any additional agreements between your organization and the Program Entities to govern benefits awarded to you and the responsibilities and obligations of the respective parties. You confirm that you have not committed fraud or deception in applying to the Chat for Impact Program. You agree that the Program Entities may disqualify you from the Program if they have reason to believe, as determined in their sole discretion or learn of any act, offense, violation, or crime on your part involving moral turpitude or which may bring a Program Entity into public disrepute, contempt, scandal or ridicule, or which may insult or offend the Program, the community, or any employee, agent, or affiliate of a Programme Entity, or which may injure a Program Entity’s reputation in its sole judgment.

‍ You agree to comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your involvement in the Chat for Impact Program and any content and materials provided, including all relevant data protection laws.

‍The Program is void where prohibited by law.

IF YOU DISAGREE TO BE BOUND BY THESE CHAT-FOR-IMPACT PROGRAM TERMS AND CONDITIONS, YOU MAY NOT PARTICIPATE IN ANY ASPECT OF THE PROGRAM .

Chat for Impact: GenAI Accelerator Programme

Overview

The inaugural Chat for Impact: GenAI Accelerator Programme will catalyze and scale the impact of 10 organizations by helping them design and deploy novel LLM-powered chat solutions in education, health, and economic mobility. This accelerator will collaborate with OpenAI and Turn.io and run during 2024.

The Chat for Impact: GenAI Accelerator Programme is a Chat for Impact Subprogram hosted by the Program Entities for several organizations. The Chat for Impact: GenAI Accelerator, Program Entities are inviting 10 organizations to participate in the Chat for Impact: GenAI Accelerator with the primary goals being:

(i) the ability to expedite their growth and impact through the Chat for Impact: GenAI Accelerator program, which will guide chatbot performance and access to industry experts and/or mentors; and

(ii) create unique use cases for the WhatsApp Business solution, as facilitated by the Chat for Impact: GenAI Accelerator Program, which may include the use of chatbots and integrations within the WhatsApp Business Solution that further a participating organization’s mission.‍

Chat for Impact: GenAI Accelerator Eligibility and Application Evaluation

To be considered as a Successful Chat for Impact: GenAI Accelerator Participant, in addition to the general eligibility requirements listed above, your organization must meet the eligibility requirements as described in the Chat for Impact: GenAI Accelerator Programme website under the FAQs on the Chat for Impact: GenAI Accelerator Programme website.

By agreeing to be considered as a Successful Chat for Impact: GenAI Accelerator Registrant, you represent and confirm that you will, by 1 April 2024 have a live WhatsApp Business account and have submitted a proposed use case (“the Proposed Use Case”). Failure to do so will result in being unable to participate in the Accelerator.

Chat for Impact: GenAI Accelerator Programme Benefits and Participation

The Program Entities will, for the Chat for Impact: GenAI Accelerator Programme 2024 select 10 successful Applicants as the Chat for Impact: GenAI Accelerator Participants. They will enter into a Participation and Grant Agreement (“the Agreement”) with Turn.io to receive grant funding to accelerate the Chat for Impact: GenAI Accelerator Participant’s development and launch of the Chat for Impact: GenAI Accelerator Participant’s accepted Use Case. Each Chat for Impact: GenAI Accelerator Participant will be able to access the following additional Chat for Impact: GenAI Accelerator Program benefits:

Inclusion in the 8-week accelerator program will provide dedicated mentorship and support to help build WhatsApp solutions.
Grant funding to the value of $ 35,000 with a further $ 50,000 each for the top three best-performing organizations.
Access to a share of 500 000 in OpenAI API credits
Technical, strategic and governance support from expert advisors at OpenAI and Turn.io
Mentorship & guidance as they build their AI-enabled chat service
Peer learning opportunities from the broader Chat for Impact Accelerator Alumni
Post-program support to sustain and grow momentum
Turn.io software license for six months valued at $3000
100 000 WhatsApp Conversations per month ( Subject to fair use policy and use case approval )
Upon acceptance, participation in the 8-week accelerator program is regulated by the Participation and Grant Agreement signed between Turn.io and yourself.

The Program Entities may terminate the Program or any benefits at any time without notice and without any liability or obligation to provide you with any substitute benefit or other compensation. If your participation in the Chat for Impact: GenAI Accelerator discontinues for any or no reason, the Program Entities reserve the right to require you to stop using and return any benefits immediately unless it specifies a different timeframe.

GENERAL TERMS

‍You understand that any waiver of any term of the Program Terms and Conditions in a particular instance will not be a waiver of such term for the future. You agree that the invalidity or unenforceability of any part of the Program Terms will not affect the validity or enforceability of any other part hereof.

‍You acknowledge and agree that the Program Entities cannot guarantee that your participation in the Programme will ensure that your organization can successfully expand its impact and further its goals. The Program Entities make no representation in this regard. You and your organization will be solely responsible for making all decisions and taking actions related to your business, including compliance with all applicable laws and regulations. Participant with this waives and covenants not to sue the Program Entities or their employees, agents, contractors, or other representatives for any claim related to such matters. ‍

You and your organization agree to indemnify, defend and hold the Program Entities, our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third-party suppliers of information and documents, attorneys, advertisers, product and service providers, and affiliates harmless from any liability, loss, claim and expense, including reasonable attorney's fees, related to your violation of these Terms or your participation in the Program.

‍In case the instance where you are granted the right to and agree to use the subsidized WhatsApp line, you agree to indemnify and hold Turn.io and their subsidiaries, affiliates, directors, officers, agents, or other partners and employees harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of content that you submit, post to or transmit through the WhatsApp line.

‍Any award to your organization of the status of Successful Participant is not transferable or assignable under the Program.
